Terms of Service

These Terms of Service ("Terms") govern your access to and use of SourceSheets, including our website, web application, browser extension, APIs and related services.

SourceSheets is operated by CAIN ANALYTICS LTD, a company registered in England and Wales under company number 15977009, with its registered office at 71-75 Shelton Street, London, England, WC2H 9JQ.

By creating an account, starting a free trial, purchasing a subscription, accessing an API or otherwise using SourceSheets, you agree to these Terms.

If you do not agree to these Terms, you must not use SourceSheets.

1. About SourceSheets

SourceSheets provides software and tools designed to assist with product sourcing, product analysis and related activities.

Depending on your subscription, features may include:

  • uploading CSV files and similar supported files for analysis;
  • accessing SourceSheets' scanned lists of wholesalers, online retailers and other retailers;
  • analysing products and product data;
  • viewing Amazon-related product metrics and sales estimates;
  • using sourcing and analysis tools;
  • using the SourceSheets browser extension to scan supported third-party websites;
  • accessing integrations and other platform functionality; and
  • other features made available by SourceSheets from time to time.

Features may differ depending on your subscription and may be added, changed, restricted or removed in accordance with these Terms.

2. Eligibility

You must be at least 18 years old to create an account or use SourceSheets.

By using SourceSheets, you confirm that:

  1. you are at least 18 years old;
  2. you have the legal capacity to enter into these Terms; and
  3. the information you provide to us is accurate and complete.

SourceSheets is available to both consumers and businesses.

If you use SourceSheets on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these Terms.

3. Regional availability

Users may create an account from regions where SourceSheets is made available.

However, SourceSheets is primarily developed and operated from the United Kingdom and we do not guarantee that all features, retailers, marketplaces, data, currencies, integrations or functionality will support every country or region.

The availability or usefulness of SourceSheets in a particular region may change without notice.

4. Accounts

Your SourceSheets account is personal to you.

Unless we have expressly authorised otherwise, you must not:

  • share your login credentials with another person;
  • allow another person to regularly operate SourceSheets through your account;
  • sell, rent, lend or transfer access to your account;
  • create accounts on behalf of other people;
  • allow multiple people to use a subscription intended for one individual; or
  • attempt to circumvent account restrictions.

You are responsible for maintaining the security of your account credentials and for activity carried out using your account.

You must contact us promptly if you believe your account has been compromised or accessed without permission.

We may use reasonable technical and account information, including access patterns and location information, to identify suspected account sharing or other misuse.

Suspected unauthorised account sharing may result in temporary suspension while we investigate.

5. Virtual Assistant access

SourceSheets may offer additional access arrangements for customers who use a virtual assistant or "VA".

VA access must be expressly authorised by SourceSheets and may be subject to an additional charge.

We may require reasonable evidence to verify that an individual is genuinely acting as your VA. The evidence requested will depend on the circumstances and may include information reasonably necessary to verify the working relationship.

We will not require more information than we reasonably consider necessary for verification.

Purchasing or receiving permission for VA access does not give you permission to share your account with any other person.

We may refuse, withdraw or suspend VA access where we reasonably believe that it is being used to facilitate account sharing, resale of access or another breach of these Terms.

6. Subscription plans

SourceSheets currently offers subscription options which may include:

Custom Scans — Custom Scans allows users to upload their own CSV files and other supported files for analysis.

Full — Full includes Custom Scans and may also provide access to SourceSheets' scanned lists of wholesalers, online retailers and other retailers, together with additional SourceSheets features.

The precise features included in each plan are those displayed on SourceSheets when you subscribe.

We may change the name, structure or included features of subscription plans from time to time.

7. Free trial

We may offer eligible users a 7-day free trial.

Unless stated otherwise when you subscribe, your free trial will automatically convert into a paid monthly subscription at the end of the trial period unless you cancel before the trial expires.

You authorise Stripe and SourceSheets to charge the payment method provided when your trial converts to a paid subscription.

The applicable subscription price will be shown to you before you start the trial.

A free trial may be limited to one per person, household, business, payment method or other reasonable identifier.

We may refuse or revoke a free trial where we reasonably believe that a person is creating multiple accounts or otherwise attempting to obtain repeated free trials.

8. Billing and automatic renewal

SourceSheets subscriptions are billed monthly unless otherwise stated when you subscribe.

Subscriptions automatically renew at the end of each billing period until cancelled.

By purchasing a subscription, you authorise us and our payment provider, Stripe, to collect the applicable subscription fees using your selected payment method.

Prices displayed to customers will include VAT where applicable unless expressly stated otherwise.

You are responsible for keeping your billing and payment information up to date.

9. Price changes

We may change our subscription prices.

Where a price change affects an existing paid subscription, we will provide at least 30 days' notice before the new price takes effect.

The new price will not apply earlier than 30 days after notice has been given.

If you do not agree to the new price, you may cancel your subscription before the new price takes effect.

Continuing your subscription after the new price takes effect constitutes acceptance of the new subscription price.

10. Failed payments

If a subscription payment fails, we may suspend or cease access to paid SourceSheets features.

Stripe may attempt to recover the outstanding payment through its payment recovery systems.

If payment cannot be successfully recovered, your subscription may be cancelled.

You remain responsible for any properly incurred subscription fees which remain outstanding.

11. Cancellation

You may cancel your subscription at any time through the cancellation functionality provided by SourceSheets or by contacting us where appropriate.

Unless applicable law requires otherwise, cancellation takes effect at the end of your current paid billing period and you may continue using the applicable paid features until that date.

Cancelling a subscription prevents future automatic renewals. It does not ordinarily refund fees already paid.

12. Refunds and consumer rights

Except where required by applicable law, subscription fees are non-refundable.

SourceSheets may, at its sole discretion, offer refunds, account credits, subscription extensions or other goodwill gestures. A goodwill gesture on one occasion does not create an entitlement to the same treatment in the future.

If you are a consumer, you may have statutory cancellation rights in addition to the cancellation rights provided under these Terms.

Nothing in these Terms excludes or limits any consumer right which cannot lawfully be excluded or limited.

Where applicable law entitles you to a refund, cancellation, repeat performance, price reduction or another statutory remedy, these Terms do not prevent you from exercising that right.

13. Unlimited usage and fair use

Where SourceSheets describes a subscription or feature as unlimited, this means that there is no fixed ordinary usage allowance for legitimate use of that feature.

Unlimited usage does not permit:

  • abusive use;
  • use intended primarily to consume excessive infrastructure or processing resources;
  • automated usage outside functionality expressly provided or approved by SourceSheets;
  • activity which materially degrades the service for other users;
  • attempts to circumvent technical protections, rate controls or usage safeguards;
  • use which threatens the security or stability of SourceSheets; or
  • other usage which is clearly inconsistent with normal use of the relevant subscription.

If your usage materially affects SourceSheets or other users, we may temporarily restrict or suspend the relevant functionality and contact you to resolve the issue.

We will apply this provision reasonably and do not intend it to impose an undisclosed ordinary usage quota on legitimate customers.

14. Acceptable use

You must use SourceSheets lawfully and responsibly.

You must not:

  1. share or resell unauthorised access to SourceSheets;
  2. scrape, systematically extract or reproduce SourceSheets itself without our written permission;
  3. reverse engineer, decompile or attempt to derive the source code of SourceSheets except where applicable law expressly permits this;
  4. create accounts automatically without our permission;
  5. interfere with the security, stability or operation of SourceSheets;
  6. abuse or attempt to overwhelm our infrastructure;
  7. abuse an API or integration;
  8. engage in fraud or deceptive activity;
  9. use SourceSheets to facilitate unlawful activity;
  10. attempt to circumvent subscription, payment, account, access or feature restrictions;
  11. create another account to evade a suspension or termination;
  12. copy or systematically reproduce SourceSheets for the purpose of creating or assisting a competing service;
  13. systematically reproduce, extract or compile our proprietary datasets;
  14. introduce malware, malicious code or other harmful material; or
  15. attempt to gain unauthorised access to SourceSheets, another user's account or our systems.

Good-faith reporting of a vulnerability or unintended restriction to the SourceSheets team will not, by itself, be treated as prohibited circumvention, provided that you do not exploit the issue beyond what is reasonably necessary to identify and report it.

15. Enforcement of acceptable use rules

The action we take will depend on the nature and seriousness of the issue.

For example, we may ordinarily:

  • temporarily suspend suspected account sharing;
  • terminate accounts involved in deliberate resale of SourceSheets access;
  • terminate accounts involved in unauthorised scraping of SourceSheets;
  • terminate accounts involved in reverse engineering or deliberate circumvention;
  • restrict or temporarily suspend accounts causing excessive resource consumption;
  • temporarily suspend API access while investigating suspected API abuse;
  • terminate accounts involved in fraud or unlawful conduct; and
  • report suspected unlawful activity to relevant authorities where appropriate.

These examples do not restrict our ability to take different action where reasonably necessary.

16. SourceSheets browser extension

The SourceSheets browser extension is designed to allow users to extract or analyse information from third-party websites.

SourceSheets provides the technical functionality. You decide which third-party websites you use the extension with and how you use the information obtained.

You are responsible for determining whether your use of the extension on a particular website is appropriate, authorised and lawful.

SourceSheets does not grant you permission to access, copy or process information belonging to a third party merely because the extension is technically capable of interacting with that website.

You are responsible for complying with:

  • applicable laws and regulations;
  • third-party intellectual property rights;
  • data protection and privacy laws;
  • applicable contractual obligations; and
  • any website or platform terms which apply to you.

You must not use the extension to:

  • obtain information you are not authorised to access;
  • circumvent authentication or access controls;
  • improperly bypass CAPTCHAs or other security controls;
  • gain access to private or restricted areas without permission;
  • unlawfully collect or process personal data;
  • intentionally overload, disrupt or attack a website or service;
  • facilitate fraud or unlawful activity; or
  • otherwise access information in a manner prohibited by law.

SourceSheets may block, restrict or disable use of the extension on any domain where we reasonably consider this necessary for legal, security, operational, contractual or commercial reasons.

The absence of a domain block does not mean that SourceSheets approves or authorises scraping of that website.

17. Third-party websites and marketplaces

SourceSheets may display, process or analyse information relating to Amazon, wholesalers, retailers, marketplaces and other third-party services.

Your use of those third-party services remains subject to any terms and policies that apply between you and the relevant third party.

SourceSheets is not responsible for your compliance with third-party rules.

SourceSheets is not affiliated with, endorsed by or sponsored by Amazon or any retailer, marketplace or third party merely because its products, websites, trademarks or data are referenced by SourceSheets.

All third-party trademarks remain the property of their respective owners.

18. Product data and accuracy

SourceSheets processes substantial quantities of product, pricing, marketplace and retailer information.

Information displayed through SourceSheets may be:

  • estimated;
  • calculated;
  • incomplete;
  • delayed;
  • outdated;
  • incorrectly matched;
  • based on third-party information;
  • affected by changes made by retailers or marketplaces; or
  • otherwise inaccurate.

We take reasonable steps to provide a useful service, but we do not guarantee that every product match, price, fee, sales figure, ranking, stock level, calculation, retailer listing, identifier or other item of information is accurate or current.

You must independently verify information which is important to a purchasing or business decision.

19. Amazon sales estimates

SourceSheets may provide estimated Amazon sales metrics using our proprietary sales estimation systems or APIs.

These figures are estimates.

They are not verified statements of the actual sales, turnover, profit or performance of an Amazon listing, seller or business.

Actual performance may differ materially from estimates shown by SourceSheets.

Our estimation methods may change over time as we update our technology, data and methodologies.

We do not guarantee that historical estimates will be recalculated when our methodology changes.

20. Profit and sourcing calculations

Any profit, margin, return on investment, fee, tax, revenue or similar calculation shown by SourceSheets is provided as an analytical aid.

Calculations may rely on assumptions, information supplied by you, marketplace data or third-party information.

Costs which apply to your particular business may not be included.

You are responsible for confirming all relevant costs and assumptions before making a purchasing decision.

21. Purchasing and business decisions

SourceSheets is a research and analysis tool. It does not make purchasing decisions on your behalf.

A product being displayed, highlighted, ranked or otherwise identified by SourceSheets does not mean that we recommend that you purchase it.

Before purchasing stock or making another commercial commitment, you should independently verify information including:

  • purchase price;
  • selling price;
  • VAT treatment;
  • marketplace fees;
  • fulfilment fees;
  • shipping costs;
  • restrictions;
  • eligibility to sell;
  • intellectual property risks;
  • stock availability;
  • product matching;
  • demand;
  • competition;
  • sales estimates; and
  • expected profitability.

SourceSheets does not guarantee that a product will sell or that you will make any particular profit, revenue, margin or return.

22. No professional advice

SourceSheets does not provide legal, financial, accounting, investment or tax advice.

Information and calculations available through the service are provided for analysis and informational purposes.

Where necessary, you should obtain appropriate professional advice relevant to your circumstances.

23. Data sources and methodology

SourceSheets may use information from third-party providers, retailers, marketplaces, suppliers, APIs and other commercial sources.

We may also use proprietary processes, algorithms and methodologies to analyse or estimate information.

To protect our commercial interests, SourceSheets is not required to disclose the identity of its private data suppliers, commercial data sources, proprietary algorithms, methodologies or other confidential processes except where disclosure is required by law.

We may change our data providers, suppliers, methodologies, algorithms and calculation methods from time to time.

24. Files and content uploaded by you

You may be able to upload CSV files and other supported content to SourceSheets.

You retain ownership of content which you upload to SourceSheets ("Customer Content").

You grant SourceSheets a limited, non-exclusive licence to host, copy, transmit, process and analyse Customer Content only to the extent reasonably necessary to:

  • provide SourceSheets to you;
  • perform the analysis you request;
  • maintain and operate the service;
  • secure the service;
  • prevent fraud and abuse;
  • troubleshoot technical problems; and
  • comply with applicable legal obligations.

This licence does not transfer ownership of your Customer Content to SourceSheets.

You are responsible for ensuring that you have the right to upload and process Customer Content through SourceSheets.

25. Use of Customer Content for product development

SourceSheets does not currently rely on these Terms as permission to use identifiable Customer Content to train general-purpose artificial intelligence models.

Our processing of personal information and Customer Content is also subject to our Privacy Policy and applicable data protection law.

If we materially change how Customer Content is used, including introducing new uses for model training or similar purposes, we will update the relevant privacy information and obtain any consent or other lawful basis required by applicable law.

We may use aggregated or effectively anonymised information for analytics, statistical analysis, service monitoring and product improvement where individuals are no longer identifiable.

26. Data retention following cancellation

Cancellation or termination of a subscription does not necessarily result in immediate deletion of all account information.

We may retain account information and Customer Content for a reasonable period after cancellation to facilitate account recovery or reactivation by returning customers.

We may retain certain billing, transaction, security, fraud-prevention, dispute and legal records for longer where reasonably necessary for legitimate business purposes or to comply with applicable law.

Retention periods will be determined in accordance with our Privacy Policy and applicable data protection requirements.

Where information has been effectively anonymised so that it no longer identifies an individual, we may retain and use that anonymous information for statistical, analytical and business purposes.

We may delete Customer Content following cancellation or termination and you should not rely on SourceSheets as your sole permanent storage location.

27. API and integration access

SourceSheets may provide API access to approved third-party integrators.

API access is not automatically included merely because a person holds a SourceSheets subscription.

Prospective integrators must contact the SourceSheets team and be approved before API credentials or keys are issued.

API access may be subject to:

  • separate commercial terms;
  • technical documentation;
  • usage limits;
  • security requirements;
  • integration requirements;
  • additional fees; and
  • separate agreements.

API keys and credentials must be kept confidential.

Unless expressly agreed with SourceSheets in writing, API access does not permit a third party to:

  • sell raw SourceSheets data;
  • create a substitute for SourceSheets;
  • systematically reproduce the SourceSheets database;
  • provide unauthorised third parties with API access; or
  • use the API in a way which materially harms SourceSheets or its infrastructure.

We may restrict, rotate, suspend or revoke API credentials where reasonably necessary for security, abuse prevention, contractual compliance or protection of the service.

28. Intellectual property

SourceSheets, including its software, source code, branding, visual design, databases, proprietary datasets, systems, algorithms, documentation and other intellectual property, belongs to CAIN ANALYTICS LTD or its licensors.

Your subscription gives you a limited, personal, revocable and non-transferable right to use SourceSheets in accordance with these Terms.

It does not transfer ownership of SourceSheets or its intellectual property to you.

You may use information obtained through SourceSheets for legitimate sourcing and analysis activities in your own business, subject to these Terms.

You must not systematically reproduce SourceSheets, its proprietary database, its software or substantial parts of the service for the purpose of creating, assisting or operating a competing product or service.

29. Screenshots and ordinary references to SourceSheets

You may take ordinary screenshots of SourceSheets and show reasonable extracts of your results for purposes such as education, discussion, product sourcing content, social media or demonstrating your own workflow.

This permission does not allow you to:

  • reproduce substantial portions of the SourceSheets database;
  • provide another person with a substitute for a subscription;
  • systematically publish SourceSheets data;
  • misrepresent yourself as SourceSheets;
  • remove proprietary notices for a misleading purpose; or
  • copy SourceSheets for the purpose of creating a competing service.

30. Third-party services

SourceSheets relies on third-party systems and services.

These may include payment processors, hosting providers, marketplaces, retailers, browsers, APIs, data providers and other infrastructure.

A third party may change, restrict or discontinue its products or services without SourceSheets controlling that decision.

As a result, particular SourceSheets features may become temporarily or permanently unavailable or may need to be modified.

We do not guarantee the continued availability of any integration, retailer, marketplace, third-party data source or third-party-dependent feature.

31. Service availability

SourceSheets is provided on an "as available" basis.

Unless we have expressly agreed otherwise in writing, we do not provide a service-level agreement or guarantee any specific level of uptime.

We may carry out maintenance, upgrades and other work which temporarily interrupts access.

Where reasonably practicable, significant planned maintenance will be carried out during lower-usage periods.

Temporary downtime does not automatically entitle you to a refund or compensation, although this does not affect any rights which cannot lawfully be excluded.

32. Changes to SourceSheets

We continuously develop SourceSheets.

We may add, modify, replace, restrict or remove functionality where reasonably necessary for product development, security, legal compliance, third-party changes, commercial reasons or operation of the service.

Purchasing a subscription does not guarantee that a particular feature, retailer, integration, data source or workflow will remain available indefinitely.

Where a change materially affects a paid service, we will act reasonably and in accordance with any rights you have under applicable law.

33. Suspension

We may temporarily suspend an account or particular feature where reasonably necessary, including where we suspect:

  • a breach of these Terms;
  • account sharing;
  • fraud;
  • payment failure;
  • excessive or abusive resource consumption;
  • API abuse;
  • a security threat;
  • unlawful activity;
  • attempted circumvention;
  • misuse of our browser extension;
  • infringement of another person's rights; or
  • activity which threatens SourceSheets, our users or a third party.

Suspension may take place while we investigate suspected activity.

Where appropriate, we may contact you and give you an opportunity to explain or resolve the issue.

Serious cases may result in immediate termination.

34. Termination by SourceSheets

We may terminate your account where reasonably necessary, including where:

  • you materially or repeatedly breach these Terms;
  • you resell or systematically share access;
  • you fraudulently obtain access;
  • you deliberately circumvent our security or payment systems;
  • you attempt to reverse engineer SourceSheets;
  • you scrape or reproduce SourceSheets without permission;
  • you use SourceSheets for unlawful purposes;
  • you create accounts to evade a previous suspension or ban;
  • continued access would create a material security, legal or operational risk; or
  • we are required to do so by law.

Where reasonably appropriate, we may provide notice or an opportunity to remedy a breach before termination. Serious breaches may result in immediate termination.

Termination for serious misuse does not create an entitlement to a refund except where applicable law requires otherwise.

35. Discontinuation of SourceSheets

We may discontinue SourceSheets or a material part of the service.

If we permanently discontinue the entire paid service, we will take reasonable steps to notify affected customers and deal fairly with any prepaid period which cannot be provided.

Nothing in these Terms requires SourceSheets to operate indefinitely.

36. Liability for business users

This section applies where you use SourceSheets wholly or mainly for purposes relating to your trade, business, craft or profession.

To the fullest extent permitted by law, SourceSheets will not be liable for:

  • loss of profit;
  • loss of revenue;
  • loss of business;
  • loss of opportunity;
  • loss of anticipated savings;
  • loss of goodwill;
  • loss arising from stock purchased or not purchased;
  • losses caused by inaccurate sales estimates;
  • marketplace or seller-account restrictions;
  • third-party claims arising from your use of a third-party website;
  • loss arising from inaccurate or delayed third-party data;
  • loss caused by a retailer, marketplace, browser, API or third-party service changing or becoming unavailable;
  • loss of data where you failed to maintain an appropriate independent copy; or
  • indirect or consequential loss.

Subject to the liabilities which cannot lawfully be limited, our total aggregate liability to you arising out of or relating to SourceSheets or these Terms will not exceed the total subscription fees actually paid by you to SourceSheets during the 12 months immediately preceding the event giving rise to the claim.

If you have been a paying customer for less than 12 months, the cap will be the amount you have actually paid during that shorter period.

37. Liability for consumers

If you are a consumer, nothing in these Terms excludes or limits liability where it would be unlawful to do so or affects your statutory rights.

We are responsible for losses which are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill where applicable law requires us to be responsible.

We are not responsible for losses which were not foreseeable.

Where you use SourceSheets for commercial or business activities, business losses including lost profits, lost sales, lost revenue and lost business opportunities are not treated as consumer losses.

38. Liabilities we do not exclude

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence where liability cannot lawfully be excluded;
  • fraud or fraudulent misrepresentation; or
  • any other liability which cannot lawfully be excluded or limited.

39. Responsibility for third-party use by business users

If you are a business user, you are responsible for your use of SourceSheets in connection with third-party websites and information.

To the extent permitted by law, you will be responsible for losses, claims or reasonable costs incurred by SourceSheets as a direct result of your deliberate unlawful use of SourceSheets, infringement of third-party rights, or material breach of the browser extension restrictions in these Terms.

This provision does not apply to the extent that a loss was caused by SourceSheets.

40. Privacy

Our handling of personal information is governed by our Privacy Policy and applicable data protection law.

Our Privacy Policy forms an important part of how we explain the collection, use, retention and sharing of personal information.

Where these Terms and our Privacy Policy deal with different subjects, they should be read together.

41. Service communications

By maintaining a SourceSheets account, you agree that we may send communications which are reasonably necessary to operate your account or provide the service.

These may include:

  • billing notices;
  • payment failure notices;
  • security notifications;
  • service changes;
  • changes to these Terms;
  • subscription information;
  • maintenance information; and
  • other important account notices.

Any marketing communications will be handled separately in accordance with applicable privacy and electronic communications requirements.

42. Changes to these Terms

We may update these Terms from time to time.

Changes may be necessary because of changes to SourceSheets, applicable law, regulation, security requirements, our business model or third-party services.

Where a change is material to an existing customer, we will provide reasonable notice before it takes effect unless an immediate change is reasonably required for legal, regulatory or security reasons.

If you do not agree to a material change, you may stop using SourceSheets and cancel your subscription.

Changes to these Terms do not remove rights which have already arisen under applicable law.

43. Transfer of these Terms

You may not transfer your rights or obligations under these Terms to another person without our written permission.

We may transfer our rights or obligations under these Terms as part of a reorganisation, sale, acquisition, financing or transfer of the SourceSheets business, provided that doing so does not unlawfully reduce your rights.

44. Entire agreement for business users

If you are a business user, these Terms and any additional written terms expressly agreed with SourceSheets constitute the agreement between you and SourceSheets concerning your use of the service.

You acknowledge that you have not relied on a statement or representation which is not contained in these Terms or another agreement expressly incorporated into them, except that nothing in this section excludes liability for fraud or fraudulent misrepresentation.

45. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified to the minimum extent necessary or, where that is not possible, removed.

The remaining provisions will continue to apply.

46. No waiver

If SourceSheets does not immediately enforce a provision of these Terms, this does not mean that we have waived our right to enforce it later.

47. Third-party rights

Unless these Terms expressly state otherwise, a person who is not a party to these Terms does not have a right to enforce them.

48. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

If you are a business user, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or SourceSheets.
